Terms & Conditions

Article 1: Identification

These terms apply to all services of GY Digital, the commercial name under which Romain Goyeau operates as a student-entrepreneur, based in the Mechelen region, Belgium. Contact: privacy@gy-digital.be or +32 492 49 38 04.

Invoicing is handled officially through Tentoo Belgium NV (Belgian registered payroll & invoicing agency). Tentoo acts as the legal issuer of invoices and takes care of VAT, social contributions and withholding tax, so the client receives a standard, legally valid invoice. Tentoo is not a party to the service agreement itself and bears no contractual liability for the performance of the services.


Article 2: Scope and order of precedence

These terms govern any agreement between GY Digital and a client for website design, web development and hosting-related services. Deviating terms only apply by express written confirmation.

For each specific engagement, a separate service agreement is concluded that supplements these general terms. In case of conflict, the individual service agreement prevails over these general terms.


Article 3: Quotes and agreement

Quotes are valid for 30 days

·

The contract is formed by written acceptance (email suffices) or by payment of the first instalment

·

Project changes after acceptance may result in additional costs


Article 4: Pricing and payment

·

All prices exclude VAT (unless stated otherwise)

·

Invoicing and payment are handled via Tentoo: the client receives an official invoice from Tentoo and pays to the Tentoo bank account listed on the invoice

·

Payment in 2 instalments: 50% at start, 50% on delivery

·

Monthly hosting/maintenance: payable in advance for 12 months, or monthly

·

Invoice payment term: 14 days from invoice date

·

Late payment: legal interest + lump-sum compensation of 10% (min. €40)


Article 5: Delivery

·

Delivery timeframes ("3 working days") are indicative, not fixed, and start once the client has supplied the copy and photos

·

Delivery happens after receiving all required content (texts, images, access) from the client

·

Delays caused by late content delivery fall outside GY Digital's responsibility


Article 6: Revisions

·

Each standard plan includes 1 revision round on the design

·

Additional revisions: €50/hour

·

After final delivery, changes go through monthly maintenance or hourly billing


Article 7: Delivery and warranty

·

Delivery is done by sending the live URL + a written delivery confirmation

·

The client has 7 calendar days to report any defects in writing; absent such report, delivery is deemed accepted

·

For 30 calendar days after delivery, GY Digital fixes bugs and functional deviations from the agreed scope free of charge (60 days for e-commerce given complexity)

·

After the warranty period, changes go through monthly maintenance or at the hourly rate of €50/h excl. VAT

·

The warranty does not cover issues caused by changes by the client or third parties, nor consequences of changes in third-party services (Google, Stripe, hosting provider)


Article 8: Supplied content and indemnification

·

The client warrants the lawfulness of all supplied content (texts, images, logos, videos, music) and guarantees possession of the necessary copyrights, licenses and permissions

·

The client indemnifies GY Digital in full against any third-party claims (copyright, image rights, trademark rights) arising from supplied content, including legal costs and damages

·

If the client provides no own imagery, GY Digital may use royalty-free stock photos (Unsplash, Pexels) on request. Any license costs are passed on to the client


Article 9: Ownership and license

·

Upon full payment, the usage rights of content and design transfer to the client for unlimited duration and any commercial use within the client's activities

·

The source code remains owned by GY Digital. The client receives a non-exclusive, non-transferable license to use the code as long as the hosting agreement is in force

·

Libraries, frameworks and fonts used retain their own licenses

·

GY Digital may use the delivery as a portfolio reference unless explicitly agreed otherwise in the service agreement


Article 10: Domain name

·

Domain names are registered in the client's name (registrant and administrative contact = client, technical contact = GY Digital)

·

Upon termination, the client retains full ownership of the domain; GY Digital provides the required transfer code (EPP/auth-code) within 30 days if the client wishes to migrate

·

Annual registration fees are included in the monthly hosting price. After termination, renewal is at the client's expense


Article 11: Hosting and maintenance

·

Monthly hosting includes: server infrastructure, SSL certificate, DDoS protection, daily backups, security updates

·

Maintenance includes small text and image changes within a monthly time budget (30-60 min/month depending on plan, non-cumulative)

·

Uptime goal: 99% per year (99.5% for Booking, 99.7% for Webshop). No guarantee of 100%

·

Cancelling monthly maintenance: 1 month written notice (2 months for Webshop, given migration complexity)


Article 12: Subprocessors and third parties

For the performance of its services, GY Digital uses the following third parties, acting as processors under the GDPR:

·

Hetzner Online GmbH (Germany/EU): hosting infrastructure

·

Let's Encrypt: SSL certificates

·

Google LLC: Analytics 4, Fonts, optionally Maps

·

Web3Forms: contact form data transmission

·

Stripe Payments Europe Ltd (Ireland) or Mollie B.V. (Netherlands): online payments (Webshop plan)

·

Caddy Server: web server

·

an EU-registered registrar: domain name registration

GY Digital guarantees all subprocessors operate GDPR-compliant. A project-specific list is attached to the data processing agreement concluded alongside the service agreement.


Article 13: Confidentiality

Both parties commit to strict confidentiality of all confidential information exchanged during the collaboration (access credentials, client data, business information, technical approach, revenue figures). This obligation remains in force for 5 years after termination of the agreement.

Not confidential: (i) publicly available information, (ii) information already known before receipt, (iii) the fact that the collaboration exists (unless portfolio use is expressly refused).


Article 14: Liability

·

GY Digital is only liable for direct damages caused by a demonstrable contractual breach

·

Excluded: indirect damages (loss of revenue, profit, reputation, customer loss, missed orders), data loss due to client or third-party actions, damages from unavailability of third-party services, infringements of IP rights on client-supplied content

·

Liability cap: total liability is limited to the amount paid by the client (via Tentoo) in the 12 months preceding the damage event, with an absolute maximum of €5,000 (€10,000 for e-commerce engagements)


Article 15: Force majeure

Neither party is liable for delay or non-performance caused by force majeure, including: natural disasters, pandemics, war, cyberattacks, power or telecom outages, failure of a critical supplier (hosting provider, registrar, payment provider), government measures, or prolonged illness (certificate required).

In case of force majeure, the performance deadline is extended by the duration of the event. If force majeure lasts longer than 60 calendar days, either party may terminate without compensation.


Article 16: Termination

·

Either party may terminate upon serious contractual breach, after notice and a 14-day cure period

·

Upon early termination, hours already worked remain due

·

Upon termination of hosting/maintenance, the live site is taken offline 30 days after the end date (60 days for Webshop). Data export on first request


Article 17: Right of withdrawal (consumers)

For consumers (natural persons acting for non-professional purposes), a 14 calendar-day withdrawal period applies free of charge, pursuant to article VI.47 of the Belgian Code of Economic Law.

If the consumer expressly requests that performance begin before the end of the withdrawal period, they lose their right of withdrawal as soon as the services are fully performed (art. VI.53, 1° CEL). In case of partial performance, a proportionate fee is due at the hourly rate of €50 excl. VAT.

This provision does not apply to B2B contracts (clients with a company registration number).


Article 18: Changes to these terms

GY Digital reserves the right to modify these general terms. Changes are announced by a new date at the top of this page. For ongoing agreements, the terms in force at the time of signing the service agreement apply, unless expressly agreed otherwise.


Article 19: Governing law

·

These terms are governed by Belgian law

·

The parties commit to an amicable settlement attempt within 30 calendar days before any court proceedings

·

Only the courts of the judicial district of Antwerp (Mechelen division) are competent
